Welcome to Skedji! These Terms of Service (“Terms”) govern your access to and use of the Skedji website at skedji.com and the Skedji staff scheduling application (collectively, the “Service”), operated by Skedji (“we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to keep it updated.
You must notify us immediately at hello@skedji.com if you suspect unauthorized access to your account.

3. Use of the Service

You agree to use the Service only for lawful purposes. You may not:

Use the Service to violate any applicable law, regulation, or third-party rights
Attempt to gain unauthorized access to any part of the Service or its systems
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to transmit malicious code, spam, or harmful content
Resell, sublicense, or redistribute the Service without our written consent
Use automated tools to scrape, crawl, or extract data from the Service beyond what is permitted

4. Subscription Plans & Billing

Free Plan

The Starter plan is available at no cost with limited features as described on our Pricing page. We reserve the right to modify the features and limitations of the free plan at any time.

Paid Plans

Paid subscriptions are billed on a monthly or annual basis, as selected at the time of purchase.
All fees are quoted in US dollars and are non-refundable unless otherwise stated.
We may change pricing with 30 days' written notice. Price changes take effect at the start of your next billing cycle.

Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your account will be charged unless you cancel before the trial ends. You may cancel at any time during the trial at no cost.

Cancellation

You may cancel your subscription at any time from your account settings.
Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then.
We do not provide prorated refunds for partial billing periods.

5. Your Data

Ownership: You retain all rights to the data you enter into the Service, including employee information, schedules, and related content (“Your Data”).
License: You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.
Export: You may export Your Data at any time while your account is active.
Deletion: Upon account closure, Your Data will be permanently deleted within 90 days, unless retention is required by law.

6. Intellectual Property

The Service, including its design, code, branding, content, and documentation, is owned by Skedji and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it under these Terms.

7. Uptime & Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by circumstances beyond our reasonable control, including internet outages, hosting provider issues, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by law, Skedji shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of or inability to use the Service.

Our total liability for any claim related to the Service shall not exceed the total amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Skedji and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Modifications to the Service

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes. Your continued use after changes take effect constitutes your acceptance of those changes.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use after the effective date of changes constitutes your acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Florida.
